1. Definitions and Acceptance of Terms and Conditions.

  • 1.1 Agreement
    • These Terms and Conditions (“Terms”) constitute a comprehensive and binding legal agreement between the individual or entity accessing or using BriskBill (hereinafter referred to as “User”, “you”, or “your”) and QSG TechLabs Pvt Ltd, a company incorporated under the Companies Act, 2013, having its registered office at S-505, World Trade Centre, Brigade Gateway Campus, Dr. Rajkumar Road, Malleswaram West, Bangalore – 560055, Karnataka, India (hereinafter referred to as “QSG TechLabs”, “we”, “us”, or “our”).
    • By accessing, registering, installing, or otherwise using BriskBill via any device, including desktop, mobile, tablet, or API-based interfaces, you explicitly acknowledge that you have read, understood, and unconditionally agreed to be legally bound by these Terms, our Privacy Policy, and all other supplementary policies or guidelines that may be published from time to time.
    • In the event that you do not agree with any part of these Terms or are not authorized to enter into a binding contract with QSG TechLabs, you must immediately discontinue access to and usage of the BriskBill platform.
  • 1.2 DefinitionsFor clarity and consistency throughout this document, the following terms shall have the meanings ascribed to them below:
    • 1.2.1 “BriskBill”: Refers to the cloud-based software platform developed, maintained, and operated by QSG TechLabs that facilitates the generation, management, tracking, and reporting of invoices and billing records. This platform is provided under a Software-as-a-Service (SaaS) model and is accessible via the official website, mobile applications, and authorized APIs.
    • 1.2.2 “Account”: Denotes the digital profile created by the User upon registration with BriskBill, which enables access to various invoicing and financial management functionalities, subject to the selected subscription plan.
    • 1.2.3 “Admin”: Refers to a primary user with overarching access privileges, including but not limited to, creating and managing invoices, adding clients, editing settings, configuring integrations, and inviting Staff members.
    • 1.2.4 “Staff” or “Team Member”: Denotes a secondary user invited by an Admin to collaborate within a BriskBill account. Such access is subject to role-based restrictions and is limited in scope based on the permissions granted by the Admin.
    • 1.2.5 “Client” or “End Customer”: Refers to the external business entity or individual to whom the User issues invoices or provides services, whose information may be stored and processed within BriskBill.
    • 1.2.6 “Content”: Includes all information, data, files, texts, images, documents, graphics, client details, invoice records, and any other material uploaded, submitted, created, or otherwise transmitted by the User while utilizing BriskBill.
    • 1.2.7 “Service”: Refers collectively to all features, modules, and support mechanisms provided under BriskBill, including but not limited to invoicing, tax computation, recurring billing, payment reconciliation, client management, analytics, and integration tools.
    • 1.2.8 “Subscription Plan”: Means the category or tier of service (such as Free, Paid, or Custom Plans) opted for by the User, each plan providing a different set of functionalities, usage limitations, billing intervals, and support entitlements.
  • 1.3 Binding Nature of the Terms
    • These Terms apply universally to all users of BriskBill, including Admins, Staff, developers accessing APIs, and even visitors who browse or interact with publicly accessible features of the platform, irrespective of whether their access is provided on a trial, free, or paid basis.
    • Your continued use of BriskBill after we make any amendments, modifications, or additions to these Terms will be considered your express acceptance of such revised Terms. It is your responsibility to regularly review the Terms as posted on our website.
    • If you are acting on behalf of a corporation, partnership, trust, or any other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, “you” or “your” shall refer to both you individually and the legal entity on whose behalf you act.
  • 1.4 Language and Jurisdiction
    • These Terms are written in English and are intended to be interpreted in accordance with the laws and regulatory practices prevailing in the Republic of India. Translations, if provided, are for convenience only and shall not be legally binding.
    • All disputes, legal proceedings, or claims arising out of or in relation to these Terms shall be governed exclusively by Indian law, with jurisdiction as set out in Section 13 (Governing Law and Dispute Resolution).

2 Eligibility to Use the Service .

    • 2.1.1 By accessing or using BriskBill, you confirm and warrant that you are at least eighteen (18) years of age or have attained the legal age of majority as prescribed under the laws of your jurisdiction, whichever is higher, and that you possess the legal capacity to enter into a valid, enforceable agreement.
    • 2.1.2 The BriskBill platform is expressly intended for use by individuals or entities engaged in lawful commercial, professional, or organizational activities. It is not designed or intended for personal, household, or noncommercial use by consumers acting in their private capacity.
    • 2.1.3 You affirm that you have not been previously suspended or removed by QSG TechLabs or barred from accessing BriskBill for any reason, and that you are not a resident of any jurisdiction where use of the platform is prohibited under applicable laws.
    • 2.1.4 If you are using BriskBill on behalf of a company, LLP, partnership firm, trust, or other legal entity, you further confirm that you are duly authorized by such entity to accept and bind it to these Terms and that you have disclosed your affiliation at the time of registration.
  • 2.2 Account Creation and Setup
    • 2.2.1 In order to use BriskBill, you must complete the registration process and create a user account by providing accurate, up-to-date, and complete information, including but not limited to your full name, business name, email address, phone number, and billing details as required.
    • 2.2.2 You agree to update your account information promptly upon any changes to ensure its continued accuracy, especially where such information affects billing, compliance, or customer communication.
    • 2.2.3 QSG TechLabs reserves the right, at its sole discretion, to verify your registration details by requesting supporting documentation such as a business registration certificate, Goods and Services Tax (GST) number, Permanent Account Number (PAN), or proof of address.
    • 2.2.4 Failure to provide required information or to respond to verification requests within a reasonable timeframe may result in restricted access, suspension, or denial of service.
  • 2.3 Account Access and Credentials
    • 2.3.1 You are solely responsible for maintaining the confidentiality and security of your login credentials, including your registered email address and password, and for all activities conducted under your account.
    • 2.3.2 You must not disclose your login credentials to any unauthorized third party or allow others to access your account. Doing so constitutes a material breach of these Terms and may result in immediate termination.
    • 2.3.3 If you suspect or become aware of any unauthorized access, misuse, or breach of security related to your account, you must immediately notify us in writing at [insert legal or support email], providing all necessary information to facilitate an investigation.
    • 2.3.4 QSG TechLabs shall not be held liable for any losses, damages, or liabilities arising out of unauthorized access to your account due to your failure to safeguard login information or to notify us in a timely manner.
  • 2.4 Multiple Users and Staff Roles
    • 2.4.1 If you subscribe to a paid plan that allows multiple user access, you may designate additional users (“Staff” or “Team Members”) under your account, subject to limits specified in your Subscription Plan.
    • 2.4.2 As the account Admin, you are responsible for assigning appropriate access rights and ensuring that all Staff use the platform in compliance with these Terms and applicable laws.
    • 2.4.3 Any actions taken by Staff under your account will be deemed as actions taken by you, and you will be held jointly and severally liable for their conduct and compliance.
    • 2.4.4 QSG TechLabs reserves the right to suspend, restrict, or revoke Staff access without notice in the event of policy violation, misuse, or upon your written request.
  • 2.5 Refusal or Revocation of Access
    • 2.5.1 QSG TechLabs reserves the absolute and unconditional right to reject any registration request or to suspend, terminate, or limit access to BriskBill at its sole discretion, including but not limited to the following scenarios:
      • If you submit false, incomplete, or misleading information during registration
      • If your use of the platform violates applicable laws or poses a threat to the platform’s integrity or reputation
      • If you are found to be using BriskBill in a manner that adversely affects other users, the platform, or third-party systems
    • 2.5.2 In cases of termination or access revocation, we may permanently delete or disable access to your account and related data, subject to data retention requirements outlined in our Privacy Policy and applicable laws.
    • 2.5.3 QSG TechLabs shall not be held liable to you or any third party for the termination or suspension of your account or for the deletion of data in accordance with these Terms.

3 Permitted Use

    • 3.1.1 BriskBill is intended to serve as a professional business tool for users seeking to create, manage, organize, and track invoicing, billing, payments, and related business transactions in a structured and lawful manner.
    • 3.1.2 You are authorized to use the platform for the following permissible purposes:
      • Preparing and sending accurate invoices to clients or customers for genuine business transactions
      • Recording and tracking payment statuses, partial payments, dues, and payment histories
      • Maintaining an organized database of client contacts, services rendered, or products sold
      • Generating financial statements, tax reports, or analytics for internal or professional use
      • Inviting team members or staff to collaborate on billing operations within your organization
      • Configuring settings, integrations, and templates for legitimate business management
      • Connecting authorized third-party services (e.g., Razorpay, email gateways) to streamline business workflows
    • 3.1.3 You may also integrate BriskBill with verified and approved third-party tools as made available by QSG TechLabs, provided that such integrations are used only in accordance with their individual terms of use and do not compromise platform integrity.
  • 3.2 Prohibited Use
    • 3.2.1 Creating, issuing, or processing invoices for fraudulent, fictitious, illegal, or non-existent transactions, including “bogus billing” for tax evasion or accounting manipulation.
    • 3.2.2 Inputting or fabricating false financial information, client identities, GST numbers, or payment records for purposes of deception, regulatory evasion, or unfair commercial advantage.
    • 3.2.3 Impersonating another individual or organization without proper authorization or falsely representing your relationship to a client, supplier, or end user.
    • 3.2.4 Attempting to gain unauthorized access to any BriskBill accounts, administrative dashboards, user data, internal systems, APIs, or third-party platforms connected to BriskBill.
    • 3.2.5 Uploading, deploying, or distributing any viruses, malware, spyware, keyloggers, ransomware, worms, or any other malicious code or files intended to harm or compromise data, security, or system performance.
    • 3.2.6 Circumventing or interfering with any access controls, security protocols, or usage limitations built into the BriskBill platform, including license restrictions and paid plan limits.
    • 3.2.7 Reverse-engineering, disassembling, decompiling, decoding, replicating, or otherwise tampering with any portion of the BriskBill software, source code, or intellectual property.
    • 3.2.8 Using automated bots, scripts, scrapers, or crawlers to extract, modify, or access any data from the platform or to conduct load testing or brute-force attacks.
    • 3.2.9 Using BriskBill to send unsolicited bulk emails, spam, promotional messages, chain letters, phishing attempts, or abusive communications to clients, staff, or third parties.
    • 3.2.10 Engaging in any activities on the platform that violate applicable laws, regulations, or orders including, but not limited to, laws related to data protection, cybercrime, anti-money laundering, taxation, or contractual obligations.
  • 3.3 Enforcement and Monitoring
    • 3.3.1 QSG TechLabs reserves the unconditional right to monitor usage of BriskBill to detect patterns of misuse, fraud, abuse, or other violations of these Terms or applicable law.
    • 3.3.2 If we suspect, detect, or are informed of any prohibited activity, we may take any combination of the following enforcement actions, with or without prior notice:
      • Temporarily or permanently suspend user accounts
      • Disable specific features or integrations
      • Conduct internal audits and data reviews
      • Report unlawful conduct to law enforcement agencies
      • Initiate legal action, including civil claims or criminal complaints
    • 3.3.3 Any confirmed violation of this section shall result in immediate and irreversible account suspension or termination, without any refund obligation, along with potential exposure to legal liability or financial penalties as per law.

4. Subscription Plans, Billing, and Payment Terms

BriskBill operates on a Software-as-a-Service (SaaS) model, offering multiple subscription tiers tailored to meet the varying needs of individual professionals, small businesses, and enterprise users. This section governs your financial obligations, payment methods, and our billing procedures.

  • 4.1 Plan Types and Features
    • 4.1.1 BriskBill offers multiple service tiers, including:
      • Free Tier: A basic version of the platform with limited access to features and usage quotas.
      • Paid Plans: One or more upgraded packages that provide access to additional functionalities, such as higher invoice limits, team collaboration, analytics, third-party integrations, and priority support.
      • Custom Plans: Tailored enterprise-grade services available by negotiation, subject to separate written agreements.
    • 4.1.2 A complete comparison of features, limits, and pricing for each plan is made available on our website and may be amended from time to time at the sole discretion of QSG TechLabs, with or without prior notice.
  • 4.2 Billing Cycles and Renewals
    • 4.2.1 All paid subscription plans are billed in advance, either on a monthly or annual basis, as selected by you at the time of checkout. The selected billing cycle becomes effective immediately upon successful payment.
    • 4.2.2 Unless expressly stated otherwise, all paid plans will automatically renew at the end of each billing period. By enrolling in a paid plan, you consent to such automatic renewals and to the corresponding recurring charges through your authorized payment method.
    • 4.2.3 If you wish to cancel your subscription to avoid renewal, you must do so by submitting a cancellation request either through your BriskBill dashboard or by email at least forty-eight (48) hours prior to the renewal date.
    • 4.2.4 Failure to cancel within the prescribed window may result in autorenewal and billing for the next subscription period, which shall be deemed final and non-refundable unless mandated by law.
  • 4.3 Payment Methods and Processors
    • 4.3.1 All payments for BriskBill subscriptions are processed securely through Razorpay or other RBI-authorized third-party payment gateways. You agree to comply with the terms and conditions of such processors during checkout.
    • 4.3.2 For security and compliance purposes, BriskBill does not store full credit card numbers, CVV codes, UPI PINs, or similar sensitive data. All such information is collected and processed by the payment gateway on its secured servers.
    • 4.3.3 You are solely responsible for maintaining an active, valid, and up-to-date payment method linked to your account. Any failure to process the payment due to expiration, insufficient funds, or declined transactions may result in temporary suspension or downgrade of your plan.
  • 4.4 Taxes and Currency
    • 4.4.1 All prices mentioned on the BriskBill platform are stated in Indian Rupees (INR) unless specifically indicated otherwise. Currency conversion fees or bank charges incurred by foreign users shall be borne solely by the user.
    • 4.4.2 The subscription fee is exclusive of applicable taxes including but not limited to Goods and Services Tax (GST), which will be calculated and added to the invoice at the prevailing rate.
    • 4.4.3 You are solely responsible for reporting, remitting, and complying with all tax obligations arising from your use of the Service in your jurisdiction, including income tax, GST filings, and e-invoicing requirements, if applicable.
  • 4.5 Refund Policy
    • 4.5.1 All payments made to QSG TechLabs for the use of BriskBill are final and non-refundable, including payments made for unused subscription periods, accidental upgrades, or limited usage of features.
    • 4.5.2 We do not offer pro-rated refunds for mid-cycle cancellations, downgrades, or unutilized credits under any circumstances, except where expressly mandated by law.
    • 4.5.3 Refunds may be granted only as a one-time exception at the sole discretion of QSG TechLabs in limited cases, such as duplicate charges, verified payment gateway errors, or account deactivation initiated by us without cause.
    • 4.5.4 In such cases, any approved refund shall be processed using the original method of payment and may take up to 14 business days from the date of approval to reflect in your account, depending on your bank’s processing timeline.
  • 4.6 Plan Downgrades and Feature Limits
    • 4.6.1 Downgrading your account from a higher-tier plan to a lower-tier or to the Free Tier may result in the loss of access to premium features, reduced invoice volume, limited storage, or other usage restrictions.
    • 4.6.2 It is your sole responsibility to back up or export your data— including client information, invoice history, and reports—before initiating any downgrade. QSG TechLabs shall not be liable for loss of data resulting from changes in plan type.
    • 4.6.3 Any downgrade or cancellation request received within 48 hours of the renewal date will take effect in the following billing cycle, and no refunds or reversals will be provided for the current cycle.

5. User Responsibilities and Compliance

  • 5.1 Accuracy of Information
    • 5.1.1 You agree to submit only accurate, truthful, and complete information when registering, creating invoices, recording transactions, adding client details, or updating business settings.
    • 5.1.2 You are responsible for keeping your account information current at all times. This includes promptly updating your email address, GST number, billing details, company name, and other identifiers in the event of any changes in business status or registration.
    • 5.1.3 Any inaccuracies, omissions, or falsified records submitted through the platform may result in erroneous tax computation, non-compliance with Indian regulations, and legal liability for which QSG TechLabs will bear no responsibility.
  • 5.2 Lawful Use
    • 5.2.1 You shall use BriskBill solely for lawful business or professional purposes. You agree not to use the platform to facilitate tax evasion, launder money, commit fraud, or violate applicable business, consumer protection, or tax laws in India or elsewhere.
    • 5.2.2 You are solely responsible for ensuring that your use of BriskBill— including the format and content of invoices, HSN/SAC codes, client records, and tax summaries—complies with applicable statutes, including:
      • The Goods and Services Tax (GST) Act
      • The Income Tax Act, 1961
      • The Prevention of Money Laundering Act (PMLA)
      • Any relevant industry-specific regulatory or licensing obligations
    • 5.2.3 You acknowledge that BriskBill is a tool for facilitation only and does not substitute your obligations to obtain tax/legal advice or ensure reporting compliance in your business.
  • 5.3 Account and Access Security
    • 5.3.1 You shall take all reasonable precautions to safeguard your BriskBill login credentials (username and password) and prevent unauthorized access to your account, systems, or data.
    • 5.3.2 If you believe that your account has been compromised or that someone is using your account without permission, you must notify us immediately at [insert contact email], detailing the nature of the breach.
    • 5.3.3 QSG TechLabs shall not be liable for any losses, damages, or disruptions resulting from your failure to protect your login credentials, nor from unauthorized access arising due to your own negligence or failure to notify us in a timely manner.
  • 5.4 Conduct of Staff and Team Members
    • 5.4.1 If you invite additional users (“Staff”) under your account as part of a paid subscription plan, you are fully responsible for their conduct and usage of the platform.
    • 5.4.2 You must ensure that each Staff member acts in accordance with these Terms and with the internal access rights you define. You are deemed to have authorized all actions performed by your Staff within BriskBill, including invoice creation, edits, deletions, and financial entries.
    • 5.4.3 QSG TechLabs may, at its discretion, suspend or restrict access to individual Staff accounts if such access is found to be abusive, non-compliant, or technically harmful to the platform.
  • 5.5 Data Backup and Export
    • 5.5.1 While QSG TechLabs undertakes regular platform-wide backups for internal disaster recovery purposes, you are solely responsible for exporting, storing, and retaining your own data—including invoices, customer ledgers, and financial reports—for tax compliance, audit readiness, and legal requirements.
    • 5.5.2 Before initiating any account downgrade, cancellation, or deletion request, you must export all necessary records. Once your plan is changed or terminated, QSG TechLabs may limit or revoke your access to data associated with deactivated features or expired tiers.
    • 5.5.3 You acknowledge that failure to back up essential business records prior to termination may result in irreversible loss of data, for which QSG TechLabs assumes no responsibility.
  • 5.6 Cooperation with Investigations
    • 5.6.1 In the event your account is flagged or subject to review for suspected misuse, fraudulent behavior, legal violation, or data breach, you agree to cooperate fully with QSG TechLabs or any authorized investigative body.
    • 5.6.2 Such cooperation may include providing requested documentation, clarifying billing activities, verifying identity, or participating in interviews to validate account behaviour.
    • 5.6.3 Refusal to cooperate, providing misleading information, or delaying investigation may result in account suspension, withholding of access, reporting to authorities, or legal action, depending on the severity of the violation.

6. Client Data and Confidentiality

  • 6.1 Ownership of Client Data
    • 6.1.1 All content, records, and data—including customer details, invoice entries, billing addresses, line items, payment notes, tax summaries, and related attachments—uploaded or generated by you through BriskBill remain your exclusive intellectual property.
    • 6.1.2 QSG TechLabs does not claim any ownership over your data and acknowledges that all client information entered into the platform belongs solely to you, subject to your rights to delete, modify, or export such data at any time during the subscription period.
    • 6.1.3 You retain full control over who may access your client data within your BriskBill account, including Staff members and third-party integrations authorized by you.
  • 6.2 BriskBill’s Role as Data Processor
    • 6.2.1 QSG TechLabs acts as a data processor and not a controller in relation to any client data entered by you. We process such data solely on your behalf and in accordance with your instructions, for the limited purposes of delivering the Services defined in these Terms.
    • 6.2.2 BriskBill will not use, modify, aggregate, mine, or analyse your client data for any purpose unrelated to platform functionality, except in anonymized formats for improving service quality or ensuring platform integrity.
    • 6.2.3 Access to your data by our support or technical staff is strictly limited to instances where such access is:
      • Necessary to resolve a technical issue
      • Required by law or legal process
      • Explicitly authorized by you via written consent or support ticket
  • 6.3 Confidentiality Commitment
    • 6.3.1 QSG TechLabs treats all user data as confidential and shall not disclose, sell, rent, or license such data to any external party for marketing, advertising, or profiling purposes.
    • 6.3.2 All employees, contractors, and agents who have access to client data are bound by confidentiality agreements and are trained in data security best practices under our internal compliance policies.
    • 6.3.3 We implement strict access control mechanisms, with logging and auditing systems to monitor access to sensitive data, thereby ensuring accountability at every level.
  • 6.4 Data Security Measures
    • 6.4.1 BriskBill employs a multi-layered security infrastructure to protect client data, including but not limited to:
      • SSL/TLS encryption for data in transit
      • Encrypted storage for sensitive database fields
      • Regular vulnerability scans and penetration testing
      • Role-based access control within the application
    • 6.4.2 The platform is hosted on secure, industry-standard cloud infrastructure (e.g., AWS) with geographically redundant backups to ensure continuity and disaster recovery.
    • 6.4.3 Despite implementing robust security protocols, you understand that no system is immune to cybersecurity threats. You are encouraged to maintain local backups of critical documents for additional resilience.
  • 6.5 Legal Disclosures
    • 6.5.1 QSG TechLabs may be required to disclose user or client data to regulatory authorities, government agencies, or law enforcement upon receipt of a valid legal demand, such as a court order, summons, or statutory request under Indian law.
    • 6.5.2 Where legally permissible, we will notify you of any such disclosure request, allowing you an opportunity to contest or respond to the demand, unless prohibited from doing so by applicable law.
    • 6.5.3 We shall not be liable for any consequences arising from legal disclosure of your data when done in good faith and in compliance with the law.
  • 6.6 Data Retention and Deletion
    • 6.6.1 Client data will be retained for the duration of your active subscription, and for a reasonable period thereafter, as required by applicable financial and tax laws (typically 6–8 years in India), or until a deletion request is made in writing.
    • 6.6.2 You may delete specific client records or request deletion of your entire account at any time. Once initiated, deletion requests are processed securely and irreversibly, typically within 7 business days, unless retention is required by law.
    • 6.6.3 Upon account termination or expiry of your subscription, QSG TechLabs may delete all stored data associated with your account after a defined grace period unless extended through prior written agreement.

7. Intellectual Property Rights

  • 7.1 Ownership of BriskBill Materials
    • 7.1.1 All rights, title, and interest—including all intellectual property rights, copyright, trademarks, trade secrets, patents, know-how, and moral rights— in and to BriskBill, including its user interface, source code, backend architecture, visual design, templates, documentation, and proprietary features, are and shall remain the exclusive property of QSG TechLabs Pvt Ltd.
    • 7.1.2 This ownership extends to all current and future iterations, enhancements, bug fixes, design elements, database schemas, and algorithmic logic powering the BriskBill platform, whether or not publicly released.
    • 7.1.3 The “BriskBill” name, logo, and associated marks are registered trademarks of QSG TechLabs Pvt Ltd and may not be copied, imitated, or used—wholly or in part—without express prior written consent.
  • 7.2 User License
    • 7.2.1 Subject to your compliance with these Terms and full payment of applicable subscription fees, QSG TechLabs grants you a limited, nonexclusive, non-transferable, non-sublicensable, and revocable license to access and use the BriskBill platform solely for your internal business purposes.
    • 7.2.2 This license is restricted to usage via the web interface or approved mobile applications and does not convey any right to download, modify, host, or distribute the software in whole or in part.
    • 7.2.3 The license does not include any right to:
      • Access the source code of the application
      • Modify, reverse-engineer, decompile, disassemble, or bypass platform restrictions
      • Reproduce or distribute any part of the platform, including design templates, themes, or scripts
      • Use BriskBill to create derivative works or competing software products.
  • 7.3 Restrictions on Use
    • 7.3.1 You shall not:
      • Use BriskBill for any unauthorized or illegal purpose, including copying the service or its user experience
      • Attempt to gain unauthorized access to the platform’s backend systems or data belonging to other users
      • Frame or mirror the BriskBill site or interface on any server or wireless device without written permission
    • 7.3.2 Any unauthorized use of BriskBill’s intellectual property, including the replication of features, business logic, or platform flow, will constitute a violation of Indian intellectual property laws, including but not limited to the Copyright Act, 1957 and the Trade Marks Act, 1999, and may result in civil and criminal prosecution.
  • 7.4 Feedback and Suggestions
    • 7.4.1 If you voluntarily submit to QSG TechLabs any feedback, suggestions, improvement ideas, technical enhancement proposals, feature requests, or other input regarding the BriskBill platform (collectively, “Feedback”), such submissions shall become the sole and exclusive property of QSG TechLabs.
    • 7.4.2 By submitting Feedback, you agree to irrevocably assign all right, title, and interest therein to QSG TechLabs, including all intellectual property rights, without any expectation of compensation, recognition, or limitation.
    • 7.4.3 QSG TechLabs shall have unrestricted rights to implement, use, modify, or commercialize such Feedback without acknowledgment or obligation to you.
  • 7.5 Reservation of Rights
    • 7.5.1 Except for the limited license granted under these Terms, no other rights or interests, either express or implied, are transferred to you in connection with your use of BriskBill.
    • 7.5.2 All rights not expressly granted to you under this Agreement are fully reserved by QSG TechLabs Pvt Ltd, including the right to develop, distribute, and license future features, software modules, or derivative tools independently or in partnership with third parties.
    • 7.5.3 Misuse or infringement of BriskBill’s intellectual property may result in immediate termination of access, legal claims for damages, and injunctive relief to prevent ongoing violations.

8. Third-Party Services and Integrations

  • 8.1 Use of Third-Party Services
    • 8.1.1 BriskBill may contain links to, or be integrated with, third-party tools and services that are necessary to deliver or enhance specific functionalities. These services may include, but are not limited to:
      • Payment gateways (e.g., Razorpay, PayU)
      • Cloud infrastructure providers (e.g., Amazon Web Services)
      • Communication platforms (e.g., email or SMS delivery services)
      • CRM, accounting, or tax filing APIs
      • Analytics or customer engagement platforms
    • 8.1.2 These third-party services operate under their own terms of service and privacy policies, and are not controlled by QSG TechLabs. Your access to and use of such services is entirely at your own risk and subject to your direct contractual relationship with such providers.
    • 8.1.3 QSG TechLabs does not endorse, certify, or make any warranties regarding the reliability, legality, or suitability of these third-party platforms for your business.
  • 8.2 Payment Processing via Razorpay
    • 8.2.1 BriskBill uses Razorpay, a PCI-DSS compliant and RBI-authorized payment gateway, to facilitate online payment collection, reconciliation, and customer payment tracking. Any transaction you initiate through Razorpay is subject to their terms and compliance policies.
    • 8.2.2 BriskBill does not store or have access to sensitive payment data such as credit card numbers, CVV codes, or UPI PINs. All such details are handled securely by Razorpay through encrypted sessions and secure checkout modules.
    • 8.2.3 Any chargebacks, refund disputes, settlement delays, or gateway outages experienced during payment processing are to be addressed directly with Razorpay. BriskBill does not act as a financial intermediary or merchant of record.
  • 8.3 Data Sharing with Third Parties
    • 8.3.1 When you use third-party features or integrations via BriskBill, limited user or transaction data may be securely transmitted to those third parties to enable the requested service. This may include, for example:
      • Client name and invoice amount shared with the payment gateway
      • Business name and tax data shared with GST or filing tools
      • Email address and message content shared with a notification provider
    • 8.3.2 BriskBill ensures that such data sharing is:
      • Restricted to the minimum required for service functionality
      • Performed through secure, encrypted channels
      • Governed by our Privacy Policy and relevant Indian data protection laws
    • 8.3.3 We do not sell or license your data to third parties for advertising, profiling, or unrelated commercial purposes.
  • 8.4 Your Responsibility
    • 8.4.1 You are solely responsible for reviewing and agreeing to the terms and conditions of any third-party services you choose to use through BriskBill. Any legal disputes, pricing issues, or service failures arising from such providers are to be resolved directly with them.
    • 8.4.2 You agree that your reliance on or use of third-party services is voluntary and that QSG TechLabs shall not be held liable for:
      • Errors or delays caused by third-party software or systems
      • Data breaches or non-compliance occurring on external platforms
      • Service downtimes, termination of features, or changes to external APIs
    • 8.4.3 You further agree to indemnify QSG TechLabs from any third-party claims resulting from your misuse of integrations or breach of any third- party terms.
  • 8.5 No Endorsement
    • 8.5.1 The availability of any third-party tool or service within BriskBill does not imply that QSG TechLabs endorses, verifies, or guarantees the accuracy, security, or lawfulness of such services.
    • 8.5.2 It is your sole responsibility to perform due diligence before enabling any integration, sharing client data, or authorizing transactions through external platforms.
    • 8.5.3 Any reliance you place on third-party recommendations or analytics offered via integrations is entirely at your own discretion and risk.

9. Termination, Suspension, and Refunds

  • 9.1 User-Initiated Termination
    • 9.1.1 You may terminate your BriskBill account at any time by submitting a request through the platform’s in-app cancellation feature or by writing to our support team at [insert email]. You may also request to deactivate only certain features or downgrade your plan.
    • 9.1.2 Upon receipt of your termination request, your account will be deactivated as soon as administratively feasible, usually within 3–5 business days, subject to verification.
    • 9.1.3 It is your responsibility to export all required data (e.g., client records, invoices, tax reports) before initiating termination. Once the account is closed, your access to the platform and stored data will be permanently disabled.
  • 9.2 BriskBill-Initiated Termination or Suspension
    • 9.2.1 QSG TechLabs reserves the absolute right to suspend, restrict, or terminate your access to BriskBill, with or without prior notice, in any of the following circumstances:
      • Violation of any provision of these Terms
      • Use of BriskBill for fraudulent, illegal, or unethical purposes
      • Suspected misuse, data scraping, or tampering with platform integrity
      • Repeated failure to make payments under an active subscription
      • Requests from law enforcement or regulatory authorities
    • 9.2.2 In the event of suspension, your access may be temporarily limited while an internal review or investigation is conducted. During this period, certain features or data access may be restricted.
    • 9.2.3 If your account is terminated for cause, you forfeit any unused subscription value, prepaid amounts, or credits, and you shall not be entitled to any refunds.
  • 9.3 Data Retention and Deletion Post-Termination
    • 9.3.1 Following account termination—whether by you or by us—BriskBill may retain your data for a limited period to comply with applicable legal, regulatory, and audit requirements, including but not limited to:
      • Tax data retention mandates (typically 6–8 years)
      • Pending legal inquiries or disputes
      • Compliance with data retention clauses under Indian law
    • 9.3.2 After the legal retention period or upon your verified request, your data will be permanently and securely deleted from our systems, in accordance with our Data Deletion Policy and IT Act guidelines.
    • 9.3.3 If you require an early, permanent deletion of your data (before expiry of the retention period), you must submit a formal written request to [email]. Upon verification, deletion will be completed within 15 business days.
  • 9.4 Refunds
    • 9.4.1 Except as expressly required by law, all payments made to QSG TechLabs for BriskBill subscriptions are non-refundable, including payments made for:
      • Partial billing periods
      • Unused features
      • Mid-cycle downgrades or cancellations
      • Account terminations for cause
    • 9.4.2 In rare circumstances, such as billing errors or duplicate payments, we may issue a discretionary refund. Such refunds, if approved, will be credited to the original payment method within 7–14 business days.
    • 9.4.3 Users who have signed up for a recurring subscription authorize QSG TechLabs to charge their saved payment method until the plan is cancelled. No refunds will be issued for failure to cancel the subscription in time, unless such delay was caused solely by a platform error.
  • 9.5 Survival of Terms
    • 9.5.1 Notwithstanding account termination, the following provisions shall survive and continue to remain enforceable:
      • Section 6 (Client Data and Confidentiality)
      • Section 7 (Intellectual Property Rights)
      • Section 10 (Disclaimers and Limitation of Liability)
      • Section 11 (Indemnification)
      • Section 13 (Governing Law and Dispute Resolution)
    • 9.5.2 Any obligations owed by you to QSG TechLabs, including payment dues, indemnity responsibilities, or pending investigations, shall continue to bind you even after closure of your account.

10. Disclaimers and Limitation of Liability

BriskBill is provided to users as a business support platform designed to facilitate invoicing, payment tracking, and financial recordkeeping. This section outlines the limitations of warranties and liabilities, as permitted under applicable law, and defines the extent to which QSG TechLabs will be held responsible for service interruptions, financial losses, or user reliance.

  • 10.1 Service Availability Disclaimer
    • 10.1.1 BriskBill is provided strictly on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. You acknowledge that software services may occasionally experience disruptions or technical limitations.
    • 10.1.2 While we strive to maintain a high level of uptime, we do not guarantee uninterrupted access, real-time updates, or continuous availability of the platform. Planned maintenance, unforeseen outages, or third-party disruptions may impact service availability.
    • 10.1.3 We disclaim all warranties related to merchantability, fitness for a particular purpose, data accuracy, or platform suitability for tax/legal compliance unless such guarantees are explicitly provided in writing under a separate Service Level Agreement (SLA).
  • 10.2 No Professional or Tax Advice
    • 10.2.1 BriskBill is a software tool designed to support billing and financial organization. It does not constitute legal, tax, audit, accounting, or compliance advice and should not be relied upon as a substitute for consultation with qualified professionals.
    • 10.2.2 You are solely responsible for ensuring that your use of BriskBill complies with applicable tax laws (such as GST filing), business regulations, and accounting standards. Any defaults or penalties arising from noncompliance are your sole liability.
    • 10.2.3 We strongly recommend that users consult with Chartered Accountants, Tax Consultants, or Legal Advisors for statutory filings and business structuring.
  • 10.3 Exclusion of Certain Damages
    • 10.3.1 To the maximum extent permitted by applicable law, QSG TechLabs shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from or related to the use—or inability to use— BriskBill, even if advised of the possibility of such damages.
    • 10.3.2 This includes, without limitation:
      • Loss of revenue or business opportunities
      • Loss of data, reputation, or goodwill
      • Business interruption or contract loss
      • Claims from third parties (e.g., your clients or tax authorities)
    • 10.3.3 These exclusions apply regardless of the form of action—whether in contract, tort, negligence, strict liability, or otherwise—and even if QSG TechLabs was previously informed of the potential for such damages.
  • 10.4 Limitation of Liability
    • 10.4.1 In no event shall the total cumulative liability of QSG TechLabs for any claims, damages, or liabilities arising under or in connection with your use of BriskBill exceed the total subscription fees actually paid by you to QSG TechLabs in the preceding twelve (12) months.
    • 10.4.2 If you are using a Free Tier of BriskBill, your sole and exclusive remedy for any dissatisfaction or issue is to discontinue use of the platform. No monetary compensation shall be owed.
    • 10.4.3 The limitations in this section form a fundamental part of the bargain between the parties and shall apply even if any limited remedy fails of its essential purpose.
  • 10.5 Force Majeure
    • 10.5.1 QSG TechLabs shall not be held liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control (“Force Majeure”), including but not limited to:
      • Acts of God, flood, fire, earthquakes, or pandemics
      • Cyberattacks, power failures, server crashes, or DNS outages
      • Changes in law, government restrictions, or embargoes
      • War, terrorism, labour strikes, civil unrest, or riots
    • 10.5.2 In such cases, QSG TechLabs will make reasonable efforts to restore services and resume obligations once the external condition is resolved. However, no compensation shall be due for service interruption arising out of a Force Majeure event.

11. Indemnification

By using BriskBill, you agree to take full legal and financial responsibility for your conduct on the platform. This section outlines your obligation to indemnify and defend QSG TechLabs and its associates from any harm, losses, or legal claims arising out of your use of the Service, your data, or your breach of these Terms.

  • 11.1 Scope of Indemnity
    • 11.1.1 You agree to fully indemnify, defend, and hold harmless QSG TechLabs Pvt Ltd, its parent entities, affiliates, officers, directors, shareholders, employees, licensors, contractors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, damages, losses, penalties, settlements, expenses, or legal proceedings (including reasonable attorney’s fees) that arise directly or indirectly out of or relate to:
      • 11.1.2 Your breach or violation of any provision of these Terms or applicable laws, including but not limited to tax laws, IP laws, or consumer protection regulations
      • 11.1.3 Any data, content, or invoice records uploaded, created, or processed by you through BriskBill that are inaccurate, misleading, illegal, defamatory, or infringing
      • 11.1.4 Unauthorized or fraudulent use of BriskBill by you or your Staff or third parties accessing your account through your credentials
      • 11.1.5 Third-party claims made against QSG TechLabs by your clients, business associates, tax authorities, or partners, based on your conduct, invoicing practices, or failure to comply with statutory obligations
      • 11.1.6 Violation of third-party terms, including misuse of integrated services such as Razorpay, GST filing tools, or email gateways
      • 11.1.7 Security breaches or data incidents resulting from your negligence in handling login credentials, API keys, or access permissions
  • 11.2 Conditions of Enforcement
    • 11.2.1 QSG TechLabs will provide you with reasonable written notice of any claim or proceeding for which indemnification is sought, allowing you the opportunity to respond and defend.
    • 11.2.2 You agree to fully cooperate with QSG TechLabs in the defense or settlement of such claims, including supplying necessary documents, evidence, or personnel.
    • 11.2.3 QSG TechLabs retains the right, but not the obligation, to assume exclusive control over the defense and resolution of any claim at your expense if:
      • You fail to act promptly
      • There is a conflict of interest
      • The matter involves reputational or platform-wide risk
    • 11.2.4 You may not settle any indemnifiable claim without QSG TechLabs’ prior written consent, especially where the settlement:
      • Imposes a financial obligation on QSG TechLabs
      • Requires an admission of wrongdoing
      • Affects BriskBill’s ongoing business or reputation
  • 11.3 Survival
    • 11.3.1 The indemnification obligations under this section shall survive the termination, suspension, or expiration of your BriskBill account and shall continue to apply for any liabilities or claims that arise during or after your use of the platform.
    • 11.3.2 These obligations are cumulative and are in addition to any other legal or equitable remedies available to QSG TechLabs under applicable laws.

12. Modifications to Terms and Services

To ensure regulatory compliance, security, operational continuity, and evolving business needs, QSG TechLabs reserves the right to revise these Terms and the features of BriskBill at any time. This section explains how such modifications are made, how users will be notified, and their options in response.

  • 12.1 Right to Modify Terms
    • 12.1.1 QSG TechLabs retains the absolute right to update, revise, supplement, remove, or replace any portion of these Terms at any time, at its sole discretion, with or without providing prior individual notice to every user.

      • Compliance with changes in applicable law (e.g., GST laws, IT Act amendments)
      • Platform enhancements or feature upgrades

    • 12.1.3 The most current version of the Terms will be made publicly available on the BriskBill website and will supersede all previous versions upon publication.
  • 12.2 Notification of Changes
    • 12.2.1 Where the changes are material—meaning they significantly alter your rights, obligations, or access to the platform—QSG TechLabs will provide advance notice using one or more of the following channels:
      • Email to the registered email address associated with your BriskBill account
      • In-app banners or dashboard notifications
      • Highlighted notices on the official BriskBill website or support portal
    • 12.2.2 It is your responsibility to regularly check the Terms and associated notifications. Continued use of BriskBill following changes implies that you have reviewed, understood, and accepted the revised Terms.
  • 12.3 Continued Use Constitutes Acceptance
    • 12.3.1 Your continued access to or use of BriskBill after the effective date of the updated Terms constitutes your binding agreement to the modified Terms, without the need for additional affirmative action (e.g., clicking “Accept”).
    • 12.3.2 If you disagree with any updated Terms, your sole and exclusive remedy is to discontinue using BriskBill and submit a termination request in accordance with Section 9.
    • 12.3.3 QSG TechLabs shall not be liable to you or any third party for damages or consequences arising from your failure to review updated Terms or your continued use under revised policies.
  • 12.4 Service Modifications
    • 12.4.1 We reserve the right to add, modify, suspend, or discontinue any part of the BriskBill platform, including existing features, modules, integrations, or support services, at any time.
    • 12.4.2 We will make commercially reasonable efforts to notify you in advance of material changes (e.g., removal of key features), especially if such changes affect paid plans or integrations.
    • 12.4.3 QSG TechLabs does not guarantee backward compatibility for features that are upgraded, nor do we commit to maintaining any specific user-requested features unless contractually agreed.
    • 12.4.4 We shall not be held responsible for any loss of data, business disruption, or financial consequences resulting from modification or removal of platform features, provided reasonable notice was issued or the change was unavoidable (e.g., due to a third-party withdrawal).

13. Governing Law and Dispute Resolution

This section governs the legal framework applicable to these Terms and outlines the process by which any disputes, controversies, or claims between the User and QSG TechLabs shall be resolved. It affirms both parties’ commitment to fairness, due process, and applicable Indian legal principles.

  • 13.1 Governing Law
    • 13.1.1 These Terms, and any dispute or claim arising out of or relating to them (including non-contractual disputes or claims), shall be governed by and construed strictly in accordance with the laws of the Republic of India, without reference to any conflict of law principles.
    • 13.1.2 The rights, obligations, remedies, and interpretation of each clause under these Terms shall be determined solely by Indian legal standards, including but not limited to:
      • The Indian Contract Act, 1872
      • The Information Technology Act, 2000
      • The Consumer Protection Act, 2019
      • The Income Tax Act, 1961 and applicable GST legislation
  • 13.2 Jurisdiction
    • 13.2.1 You expressly agree that any disputes, claims, or proceedings arising out of or relating to these Terms, your use of BriskBill, or your interaction with QSG TechLabs shall be subject to the exclusive jurisdiction of the competent civil courts and commercial courts located in Bangalore, Karnataka, India.
    • 13.2.2 You further waive any objections to the territorial or personal jurisdiction of such courts, including objections based on inconvenience, forum non convenience, or residence outside India.
  • 13.3 Good Faith Resolution
    • 13.3.1 Before resorting to formal litigation, both parties shall attempt to resolve any disputes amicably and in good faith by engaging in informal discussions and written correspondence.
    • 13.3.2 Either party may initiate this process by serving a written notice of dispute, clearly outlining the nature of the issue and proposed remedies. Both parties agree to work toward a mutual resolution within thirty (30) calendar days of such notice.
    • 13.3.3 If the dispute remains unresolved at the end of the good faith resolution period, either party may initiate court proceedings in accordance with Clause 13.2.
  • 13.4 No Class Actions
    • 13.4.1 To the maximum extent permitted by law, you agree that any and all disputes with QSG TechLabs must be resolved on an individual basis and may not be brought as part of any purported class, consolidated, representative, or collective action.
    • 13.4.2 You expressly waive any right to participate as a plaintiff or class member in any class-action proceeding against QSG TechLabs, and you acknowledge that the remedies and procedures available to you will be limited to individual claims.
    • 13.4.3 If this class-action waiver is found to be unenforceable by a court of competent jurisdiction, then the entirety of this dispute resolution clause shall be deemed void, and the dispute may proceed in court without any restriction on class participation.
